Terms of Service

↳ The short version

You pay for what you use. We provide the Service as described in the docs. We own ProdView; you own your data. Either of us can leave with reasonable notice. We're not liable for unlimited damages — the cap is the last 12 months of fees.

1 · Acceptance

By signing up for, accessing, or using ProdView (the "Service") you agree to these Terms of Service. If you are signing up on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms. If you don't agree, don't use the Service.

"ProdView," "we," "us," and "our" mean ProdView, Inc., a Delaware corporation with offices in Stockholm and Brooklyn. "You" and "your" mean the individual or organisation that has accepted these Terms.

2 · Your account

You must be at least 16 and able to form a binding contract. You're responsible for keeping your credentials secure and for everything done under your account. Notify us at security@prodview.app immediately if you suspect a compromise.

One person, one account. You can invite teammates from the admin console; each is bound by these Terms.

3 · Acceptable use

You agree not to:

  • Use the Service to surveil people without legitimate workplace cause and applicable consent.
  • Reverse engineer, decompile, or extract source code from the agent or the Service.
  • Use the Service for any unlawful purpose, including discrimination, harassment, or retaliation.
  • Attempt to gain unauthorised access to other tenants' data.
  • Resell, white-label, or relicense the Service without a written agreement.
  • Use the Service to build a competing product.

We may suspend or terminate accounts that violate this section. For high-severity violations, suspension can be immediate; for lower-severity, we'll give you a chance to cure.

4 · Fees & billing

Plans and pricing are listed on our pricing page. Fees are billed monthly or annually in advance, per active user. "Active user" means a person whose agent reported at least one event in the billing period.

Fees are non-refundable except as required by law or specified in your order form. You're responsible for taxes other than our income taxes.

If a payment is overdue by more than 30 days we may suspend your account. Reactivation is automatic on payment.

5 · Term & termination

These Terms run as long as you have a paid plan or are using the free trial. Either of us can terminate:

  • You can cancel from the admin console at any time, effective at the end of the current billing period.
  • We can terminate for material breach (with 30 days' notice if curable) or for non-payment (with 30 days' notice).

On termination, we keep your data for 30 days for potential recovery, then permanently delete it (except billing records, which we keep for tax purposes).

6 · Your data

You own everything you put into ProdView and everything the agent collects on your behalf. We are a processor; you are the controller (see the DPA for the legal mechanics).

You grant us a limited licence to host, process, and display your data solely to provide the Service. We don't use it to train models, sell ads, or do anything else. Aggregate, anonymised metrics may be used to improve the Service.

You can export your data at any time in CSV or Parquet from the admin console.

7 · IP & feedback

ProdView, the agent, the Service, our documentation, and our trademarks are our intellectual property. These Terms don't transfer any of that to you beyond the limited right to use the Service.

If you send us feedback — bugs, feature ideas, suggestions — we can use it freely, with no obligation to you. You confirm you have the right to send it.

8 · Privacy & DPA

Our Privacy Policy describes how we handle personal information. For EU/UK/Swiss customers and any customer processing employee data, the Data Processing Addendum is incorporated into these Terms by reference.

9 · Warranty & disclaimer

We warrant that the Service will substantially conform to the documentation. If it doesn't, your sole remedy is for us to fix it — or, if we can't reasonably fix it, to refund the unused portion of fees and terminate.

Otherwise, the Service is provided "as is." To the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10 · Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages.

Our total cumulative liability for any claim relating to the Service is capped at the fees you paid us in the 12 months before the claim (or USD 100, whichever is greater).

This cap doesn't apply to claims arising from (a) our breach of confidentiality, (b) our indemnity obligations, or (c) anything that can't legally be capped (e.g. gross negligence or wilful misconduct).

11 · Indemnity

We'll defend you against any third-party claim that the Service infringes intellectual-property rights, and pay damages a court awards or we agree in settlement. Conditions: tell us promptly, let us control the defence, and cooperate.

You'll defend us against third-party claims arising from your use of the Service in breach of these Terms or applicable law.

12 · Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles, except where local consumer-protection law gives you rights that can't be waived.

Disputes will be resolved in the courts of New Castle County, Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

13 · Changes to these Terms

We may update these Terms. Material changes get at least 30 days' notice via email to all customer admins and a banner in the Service. Continued use after the effective date means you accept the new Terms. If you don't accept, you can terminate as described in § 5.
